Redgrove Legal Services is working with an Orange County-based Fortune 500 company regarding a Senior Counsel In House position.
The Senior Counsel will be expected to provide timely and high-quality commercial legal support and guidance to the division. The Senior Counsel will collaborate with internal clients at all levels of management to effectively balance the goal of minimizing legal risk to the neurovascular business while supporting and assisting in the achievement of its business and strategic objectives. The Senior Counsel must have the ability to work confidently with a high level of independence and responsibility to provide legal advice and support directly to the business clients he/she supports.
The Senior Counsel will handle a high volume of contract work for the sales and marketing functions, as well as provide support for all of the other day-to-day needs of the business as needed.
Key Responsibilities:
* General Contracts – Prepare, negotiate, review and revise all contracts, including product sales agreements, rebate agreements, and capital equipment agreements with customers, finished goods and raw materials supply agreements, research and consulting agreements, software licenses, capital equipment purchase agreements, product design and manufacturing agreements, etc.
* Compliance Initiatives – Address the impact of constantly changing health care law issues as they relate to the business and implement policies and procedures to ensure compliance with government and industry initiatives and regulations (e.g., AdvaMed Code of Ethics, Anti-Kickback Law, antitrust issues, FCPA, etc.).
* GPO/National Account Transactions – Assist with bid responses and negotiate transactions with regional and national group purchasing organizations and the Company’s national account customers.
* Marketing Materials – Assist with the creation, review and approval of all product marketing materials.
* Litigation Oversight – Work with the Company’s litigation attorneys to manage commercial and other litigation, including advising the business regarding pre-litigation strategies, coordination of outside counsel, negotiation of settlements, etc.
* Strategic Opportunities – Provide guidance and structure, draft and negotiate agreements with respect to various strategic opportunities, including mergers/acquisitions, joint-ventures, joint-development relationships, private-label transactions, outsourcing and off shore manufacturing arrangements, etc.
* Training – Provide training to employees with respect to wide range of issues facing a healthcare products business, including health care law compliance, contracting best practices, antitrust issues, product liability issues, FDA and regulatory issues, etc.
Education and Desired Experience:
* JD from an accredited US law school and admission to a state bar.
*Minimum 6 to 10 years of relevant legal experience as a corporate/commercial attorney, preferably in a midsize to large law firm setting and/or other relevant in-house experience. Experience representing medical device companies and familiarity with healthcare compliance issues is a plus.
* Extensive experience drafting and negotiating sophisticated contracts.
* Strong business sense and ability to work as a partner with business clients.
* Ability to work with minimal supervision and prioritize conflicting demands from multiple clients (including senior executives) in a fast-paced environment.
* Comfortable with having to provide clear ethical guidance in all aspects of work.
* Persuasive presentation and counseling skills.
* Interest in and ability to lead process change.
* Ability to identify and address Fraud and Abuse issues that arise in operational and business transactions is a plus.
Organizational Relationship/Scope:
Has direct contact with all levels of employees throughout the company, direct contact with outside counsel and outside company executives, and direct contact with inside counsel and inside company executives.
